1. General Provisions

1.1. These Terms govern the interaction between the parties within the framework of an organized and managed execution model for trade and business operations based on requests from users of the G2R Platform.

1.2. These Terms apply after they have been accepted by the user in relation to a specific request.

1.3. Acceptance of these Terms means the user’s consent to the organization and support of the execution of their request by the operator.

1.4. These Terms apply jointly with the Platform Terms of Use and the Privacy Policy.

2. Proposal Stage

2.1. Prior to acceptance of these Terms, the user may be provided with a preliminary commercial proposal, including:
• preliminary calculation
• proposed transaction structure
• description of the execution chain
• indicative terms

2.2. The aforementioned proposal is for informational purposes only and does not create any legal obligations.

2.3. Obligations of the parties, including payment obligations, arise only after acceptance of these Terms.

3. Subject Matter and Role of the Operator

3.1. The user instructs the operator to organize and support the execution of their request.

3.2. The operator acts as:
a qualified organizer and coordinator of international trade and foreign economic operations

3.3. In the course of execution, the operator:
• forms the transaction structure
• selects and engages participants
• organizes interaction
• supports implementation

3.4. The specific operator responsible for execution is communicated to the user before the implementation of the transaction begins.

3.5. The operator is not a seller, supplier, or other performer by default, unless expressly provided otherwise.

4. Execution Model

4.1. Execution is carried out according to an individual model, taking into account the parameters of the request.

4.2. To fulfill the request, a chain of participants is formed, which may include:
• suppliers
• trading houses (exporters / importers)
• logistics companies
• financial organizations
• payment agents
• service providers

4.3. The supplier and the participants in foreign economic activity may not be the same.

4.4. The execution structure is communicated to the user before implementation begins.

5. Principles of Execution

5.1. The operator acts based on:
• professional experience
• business practices
• internal selection procedures

5.2. Participants are engaged taking into account the objectives of the request and an assessment of their suitability.

5.3. Execution is organized with the aim of ensuring reasonable reliability and reducing risks.

6. Participants and Transaction Structure

6.1. Participants in the chain are independent parties.

6.2. Each participant is responsible for their part of the obligations.

6.3. Within the transaction structure, trading houses may be used, including:
• exporters
• importers
• settlement participants

7. Obligations of the User

7.1. The user undertakes to:
• provide accurate information
• provide necessary documents
• interact in a timely manner

7.2. The user agrees:
• to the proposed execution structure
• to the engagement of third parties
• to undergo checks

8. Data and Checks

8.1. At the execution stage, additional information and documents may be requested.

8.2. Data processing is carried out by the relevant operator in accordance with applicable law and the Privacy Policy.

8.3. The operator has the right to suspend execution if requirements are not met or if risks are identified.

9. Transactions

9.1. Transactions may be concluded between various participants in the execution chain.

9.2. The terms of transactions are determined by separate agreements.

9.3. The operator is not a party to such agreements, unless expressly provided otherwise.

10. Payments

10.1. Settlements may be carried out through:
• banks
• payment organizations
• agents
• trading houses

10.2. The operator facilitates the organization of settlements but is not a financial organization, unless otherwise stated.

10.3. All settlements are carried out in compliance with applicable requirements.

11. Liability

11.1. Each participant is liable for their own obligations.

11.2. The operator is liable for the organization and coordination of execution.

11.3. The operator acts in good faith and professionally, striving to ensure an optimal result.

11.4. Parameters that depend on third parties or external factors cannot be guaranteed.

12. Limitation of Liability

12.1. The operator is not liable for the actions of independent participants or external circumstances.

12.2. The operator’s liability is limited to the amount of its remuneration.

13. Force Majeure

The parties are released from liability under circumstances beyond their control.

14. Governing Law

The governing law is determined within the framework of the specific transaction and is communicated to the user in advance.

15. Consumer Rights

Where consumer protection laws apply, the corresponding guarantees shall take effect.

16. Final Provisions

16.1. These Terms may be updated.
16.2. The current version is published on the platform.
